  1. Overview of the Company
The Fertilisers and Chemicals Travancore Limited, (FACT) incorporated in the year 1943, is one of the first large scale fertilizer companies in India. Located at Udyogamandal, Kerala, FACT started production in 1947. Initially in the private sector promoted by M/s Seshasayee Brothers, FACT became a PSU in the year 1960 and towards the end of 1962 Government of India became the major shareholder of FACT.
From a modest beginning, FACT has expanded and diversified into multi-divisional Organisation with varied activities. The parent Division at Udyogamandal underwent four stages of expansion until the year 1972, upgrading technology and increasing capacity.
Another fertilizer unit was established in two phases at Ambalamedu near the BPCL-Kochi Refineries (Ambalamedu is about 30 km away from Udyogamandal). Phase-I, with the Ammonia-Urea Complex commissioned in 1973 and Phase-II consisting of Sulphuric Acid, Phosphoric Acid and Complex Fertiliser Plant commissioned during 1976-78.  The said unit is named as Cochin Division.
FACT diversified its operations with the commissioning of the Petrochemical Division at Udyogamandal for production of Caprolactam during 1990-91.
In the 1960's, recognizing the need for developing indigenous capabilities for design and construction of Chemical and Fertiliser Plants, FACT established an Engineering & Consultancy wing christened FEDO (FACT Engineering & Design Organisation). A Fabrication Division FEW (FACT Engineering Works) was also established in 1966.
From a modest beginning, FACT has grown and diversified into a multi-division/multi-function Organisation with basic interest in manufacture and marketing of Fertilisers and Petrochemicals, Engineering Consultancy and Design and Fabrication and Erection of Industrial Equipment.

Objectives of FACT are as follows;
  1. To produce and market Fertilisers & Caprolactam and other products efficiently and economically, besides achieving a reasonable and consistent growth.
  2. To effectively manage the assets and resources of the company to ensure a reasonable return on investment
  3. To focus on cost reduction and technology upgradation in order to become competitive in its line of business.
  4. To constantly innovate and develop new products and services to satisfy customer requirements.
  5. To invest in new business lines, where profit can be made on a sustainable basis.
  6. To provide services to the farming community by organizing technical training, soil testing and other productivity improvement services in agriculture.
 
  1. Organizational Structure
FACT is under the administrative control of the Department of Fertilizers, Ministry of Chemicals & Fertilizers, Government of India.
The Company is managed by a whole time Chairman and Managing Director, under the supervision, direction and control of the Board of Directors.  At present, Shri.  SC Mudgerikar is the Chairman & Managing Director of FACT. The present Board comprises of Chairman and Managing Director, Director (Finance), Director (Marketing), Director (Technical), two part-time official (Government of India nominee) Directors and three Independent Directors.

  1. The powers and duties of its officers and employees

The powers of the Officers of the Company are derived from the provisions of Companies Act, 2013 and are further defined in the Delegation of Powers. Employees operate under a frame work of governance that includes various manuals, Standard Operating Procedures, job profiles and the terms and conditions specified in their appointment letters. They are also bound by Conduct, Discipline and Appeal (CDA) rules & Standing Orders, as applicable.

While carrying out the responsibilities, the employees adhere to all applicable statutes, rules and regulations including instructions issued from time to time by various Departments of the Government of India, Central Vigilance Commission (CVC), and Central Information Commission (CIC). Employees also adhere to all legal and regulatory requirements relevant to their roles and responsibilities.

 
  1. The procedure followed in the decision-making process, including channels of supervision and accountability
 
  1. FACT is a Company managed by its Board of Directors, constituted under the Companies Act, consisting of Whole-time directors, Government nominee Directors, and Independent Directors.
  2. Overall supervision and management of the Company is vested with the Board of Directors of the Company.
  3. The day-to-day activities of FACT are managed by Chairman & Managing Director within the overall policy framework provided by the Companies Act, Memorandum and Articles of Association and the Board of Directors.
  4. Detailed execution of the job is being done under the leadership of the in-charge of the respective Divisions.
  5. The decisions are made on the basis of the approval of the appropriate authority as per FACT’s Delegation of Powers as approved by the Board of Directors. Financial concurrence is obtained in case of proposals having financial implications. Decisions which are beyond Delegation of Powers are placed before the Board of Directors for their approval.
  6. As per the provisions of the Companies Act, 2013 certain matters require the approval of the shareholders of the Company. Hence approval of the Shareholders is obtained, wherever required.
  7. Further FACT, being a Public Sector Company under the administrative control of the Ministry of Chemicals and Fertilizers, Government of India, approval of the Ministry is also obtained, wherever required.

The Company functions based on delegation of authority at appropriate levels. Decision, Rights and Authorities duly approved by the Management are followed for discharge of functions by the officers and departments of the Organization. The applicable guidelines issued by the Government of India from time to time are also followed.

FACT being a commercial organization engaged in the manufacturing of fertilizers, the policies formulated by it relate to its internal management. There is no arrangement for consultation with the members of the Public prior to formulation of its internal policies. However, internal policies of the Company are formulated in compliance with the applicable provisions of the statutes, rules and regulations etc.

The Board has constituted various committees with specific powers and distinct roles and responsibilities to focus on respective areas. While decision taken or minutes of the meeting of the Board of Directors and Committees of the Board are not accessible to the public, important decisions regarding the company and/or its management are being communicated as required under the law from time to time.

The pay and allowances are fixed by the orders of the Government from time to time. The remuneration of the Officers of the Company is governed by the guidelines of the Department of Public Enterprises, Government of India.
